## 3. Exclusions
1. **Client Direct Procurement** — FF&E, specialised AV, kitchen equipment (if client-supplied).
2. **Statutory Fees** — building permit, utility-connection, NOC fees.
3. **Land Acquisition** — site purchase, demarcation.
4. **Soft Costs** — design fees, supervision, insurance beyond CAR.
5. **Escalation** — valid 90 days; escalation formula thereafter.
6. **Force Majeure** — weather, strikes, government actions.
7. **Archaeological/Environmental** — discoveries during excavation.
8. **Existing Services** — relocation of unknown underground services.
9. **Operating Costs** — post-handover.
10. **VAT/Sales Tax** — exclusive of applicable taxes.

## 4. Risk Items
